Pixally Contractor Terms of Use

For second shooters, associates, editors, operators and other independent professionals who create a Pixally contractor account. If you are a photographer or studio who subscribes to Pixally, see our Terms of Service instead.

Last updated: October 9, 2026

1.Agreement to These Terms

1.1 These Terms of Use are a binding agreement between you and Pixally ("Pixally", "we", "us", "our"). They govern your use of the Pixally contractor account and any related features (the "Service"). Please read them carefully.

1.2 By ticking the box at sign-up, by creating an account, or by using the Service, you accept these Terms. If you do not accept them, do not create an account and do not use the Service.

1.3 These Terms govern your use of Pixally. They do not govern your engagement by any studio. What you are paid, what you are asked to produce, who owns what you create, and how you are treated on a job are matters between you and the studio that engages you. We are not part of that arrangement. Section 7 explains this in more detail and it is the single most important thing to understand about this document.

1.4 You must accept these Terms personally. If you work through a company, you confirm that you are authorised to bind that company as well as yourself, and both are bound.

1.5 If you also run a studio. If you separately hold a Pixally subscriber account, our Terms of Service govern that account and everything you do through it, and these Terms govern your contractor account and everything you do through that. Each applies to its own activity. Neither displaces the other.

2.Definitions

"Contractor", "you", "your" means the individual who creates and uses a Pixally contractor account. This includes second shooters, lead shooters, associate shooters, assistants, videographers, editors, drone operators, content creators, and anyone else using a contractor account, whatever their role is called.

"Studio" means a Pixally subscriber who may engage you.

"Engagement" means any booking, job, gig, assignment or other arrangement between you and a Studio, whether or not it was arranged through the Service.

"Service Agreement" means any contract, agreement or other document between you and a Studio relating to an Engagement, including any copy stored in the Service. Pixally is not a party to any Service Agreement.

"Studio Data" means any information belonging to a Studio or to a Studio's clients that you can access because of an Engagement, including contact details, contracts, invoices, schedules, venue information, photographs, film, audio and any other content.

"Contractor Data" means information about you that you provide to or generate through the Service, including your profile, roles, equipment, availability, tax documentation, engagement records and account activity.

"Work Product" means photographs, film, video, audio, edits, retouching and any other work you create or contribute to in connection with an Engagement.

3.What Pixally Is, and What It Is Not

3.1 We are software, not an employer. Pixally is a tool that Studios use to run their businesses and that you use to manage your work with them. We are not your employer. Nothing in these Terms, and nothing in your use of the Service, creates an employment, agency, partnership, joint venture or franchise relationship between you and us. We do not hire you, supervise you, train you, set your rates, direct how you perform your work, decide when or where you work, provide your equipment, or control any aspect of any Engagement.

3.2 We are not a staffing, placement or referral agency. We do not employ, engage, recruit, place, refer, recommend, endorse, vouch for or supply personnel to anyone. If a Studio finds you through the Service and books you, that is a relationship between you and them that we neither create nor join.

3.3 We are not a party to your Engagements. Any Service Agreement between you and a Studio is between the two of you. We do not negotiate it, review it, approve it, sign it, witness it, guarantee it, or take on any obligation under it. Where the Service stores a copy, we are acting as a filing cabinet and nothing more. We make no representation that any document stored in the Service is valid, enforceable, complete, current, or suitable for its purpose. We are not your lawyer, and nothing in the Service is legal advice.

3.4 We do not vet anyone. We do not screen, verify, background-check, identity-check, credential-check, licence-check, insurance-check, reference-check or otherwise confirm the identity, qualifications, experience, equipment, right to work, criminal history, financial standing or suitability of any Studio or any Contractor. Everything shown in a profile is supplied by the person it describes. Every Studio and every Contractor is responsible for their own due diligence before working with anyone.

3.5 We do not resolve disputes between you and a Studio. If you and a Studio disagree, including about pay, scope, deliverables, conduct, cancellation, expenses or the ownership of Work Product, that is between the two of you. We are not an arbitrator, mediator, adjudicator, investigator or escrow agent. We have no obligation to investigate, to take a side, to withhold anything from anyone, to suspend anyone's account, or to act on your behalf.

3.6 We are not responsible for Studios. We are not liable for anything a Studio does or fails to do, including failing to pay you, cancelling on you, misrepresenting a job, behaving unlawfully or unprofessionally, misusing your Work Product, or failing to keep your information confidential.

4.Eligibility and Your Account

4.1 You must be at least 18 years old to create a contractor account.

4.2 You must provide accurate, current and complete information when you sign up, and keep it accurate. You may hold one contractor account. You may not share it, sell it, rent it, or transfer it to anyone else.

4.3 You are responsible for keeping your login credentials secure and for everything that happens under your account, whether or not you authorised it. Tell us promptly at security@pixally.com if you believe your account has been accessed without your permission.

4.4 You confirm that you are legally entitled to work and to provide the services you offer, and that you hold every licence, permit, registration, certification and insurance that the law or a Studio requires for the work you do. This includes any licence required to operate an unmanned aircraft. We do not check any of it.

4.5 One account works across every Studio that engages you. Each Studio sees only the information relevant to its own Engagements with you, together with anything you have chosen to make visible to Studios generally.

5.Free Access

5.1 Contractor accounts are provided free of charge.

5.2 Because you pay us nothing, we make no service level commitment and no promise about availability, uptime, performance, support response, data retention or continuity. We may change, limit, suspend, withdraw or discontinue contractor accounts, or any feature of them, at any time, for any reason, with or without notice, and without liability to you.

5.3 Sections 17 and 18 apply in full to everything in this Section.

6.No Guarantee of Work, Bookings or Income

6.1 We do not promise that you will be found, contacted, booked, engaged, re-engaged or paid. We do not guarantee any volume of work, any rate, any income, any number of enquiries, or that any Studio will use the Service to find you.

6.2 Nothing in the Service is an offer of work from us. Any figures, examples, ranges or averages shown anywhere in the Service or in our marketing are illustrative only and are not a representation about what you will earn.

7.Your Engagements with Studios

7.1 Every Engagement is a direct arrangement between you and the Studio. Its terms, including scope, dates, hours, rate, payment timing, expenses, cancellation, deliverables, credit, and ownership of Work Product, are whatever you and the Studio agree between yourselves. We do not set, approve, influence or enforce any of it.

7.2 Where the Service stores a Service Agreement, it does so as a convenience to you and the Studio. Storing it does not make us a party, a witness or a guarantor, and does not mean we have read it or that it is enforceable.

7.3 If a Studio does not pay you, does not book you, cancels on you, or treats you badly, your recourse is against that Studio. We have no obligation to pursue them, to pay you ourselves, to withhold or terminate their access, to release any information about them to you beyond what the law requires, or to become involved in any way. This applies whether or not the payment was initiated through the Service. See Section 8.

7.4 You are responsible for your own taxes, national insurance or equivalent contributions, business registration, insurance, licences, permits, equipment, travel, and compliance with the law wherever you work.

8.Payments

8.1 We do not hold or transmit your money. Pixally is not a bank, a payment processor, a money transmitter, an escrow agent, or the merchant of record for anything. We never take possession of funds owed to you. Where a Studio pays you using a payment provider it has connected to the Service, the money moves between that provider and you, and we are not in the chain.

8.2 How you get paid is between you and the Studio. A Studio may pay you through a payment provider it has connected to the Service, or by any other means it chooses, or differently from one Engagement to the next. We do not require, recommend or control any method, and we do not guarantee that any method will be available for any Engagement.

8.3 The payment provider's terms are between you and them. If you receive money through a provider connected to the Service, that provider's own agreement governs it, including its identity verification requirements, holds, limits, reversals, disputes and fees. We are not a party to that agreement, and we cannot waive, override, expedite, reverse or appeal anything the provider does.

8.4 A payment status in the Service is a record, not proof. Where the Service shows an Engagement as paid, that reflects what the Studio recorded. It is not confirmation by us that money was sent, received or cleared, and it is not evidence of payment. If the Service shows you as paid and you have not been paid, your recourse is against the Studio.

8.5 We do not guarantee payment. We do not promise that any payment will be initiated, will succeed, will arrive on time, or will arrive at all. We are not responsible for any failed, delayed, reversed, duplicated, partial or misdirected payment, whatever the cause, including the Studio, the payment provider, your bank, or details you supplied. Sections 17 and 18 apply.

8.6 A tax form from a payment provider covers only what passed through it. A payment provider may issue you a tax information return for money it processed. That will not include anything a Studio paid you outside the Service, and it is not a statement of your total income from any Studio. See Section 9.5.

9.Tax Documentation and Your W-9

9.1 If you upload a Form W-9, or the equivalent form for your country, you do so so that the Studios that engage you can meet their own information reporting obligations.

9.2 You confirm that the form is your own, that the information on it is true, complete and current, and that you are entitled to provide it. Do not upload anyone else's tax form.

9.3 These forms usually contain a taxpayer identification number, which for a sole trader is often a Social Security Number, so we handle them differently from everything else in the Service:

  1. 1.we store the form as an encrypted document, and encrypt it in transit;
  2. 2.we do not extract, parse, index, display or separately store the taxpayer identification number itself, and it is not searchable or reportable anywhere in the Service;
  3. 3.access is limited to you, the owners and administrators of each Studio you work with that has set your pay rate, and the Pixally personnel who need it to operate or support the feature; and
  4. 4.we keep the form while any Studio has an Engagement with you, and for seven (7) years after your most recent Engagement ends. When you upload a new form, the one it replaces is deleted, though a Studio keeps any copy it already downloaded. We will delete it sooner on your request, subject to any period a Studio is required by law to retain it.

9.4 This is the only place in the Service where a taxpayer identification number may be submitted. Do not upload passports, driving licences, or other identity documents here or anywhere else in the Service.

9.5 We are not your tax adviser. We do not prepare, file, issue or transmit any information return on your behalf or on any Studio's behalf, and we do not check whether a form is correct or current. Your tax affairs are your responsibility. If a payment provider issues you a tax form, Section 8.6 applies.

10.Studio Data and Confidentiality

10.1 During an Engagement you may be able to see Studio Data, including the personal information of a Studio's clients and of guests at private events. That information is not yours.

10.2 You may use Studio Data only to perform the Engagement. You must not copy, export, download, retain, disclose, publish, sell or use it for any other purpose, including your own marketing, your work for any other Studio, or building any list or database.

10.3 When an Engagement ends, or when a Studio ends your access, you must stop using that Studio's Studio Data and delete any copy you hold outside the Service, except where you are required by law to keep it or where your Service Agreement with that Studio expressly permits you to keep it.

10.4 Wedding and event photographs usually show people who have no relationship with you at all. Treat them accordingly. Do not post, share, publish or submit for awards any image or footage from an Engagement unless your agreement with the Studio expressly allows it and the necessary releases exist.

10.5 These obligations continue after your account ends.

11.Work You Create

11.1 Who owns Work Product, and what either of you may do with it, is decided by your agreement with the Studio. It is not decided by these Terms and it is not decided by the Service.

11.2 Access is not a licence. Being able to see, upload, download or export a file in Pixally gives you no rights in it. If your agreement with the Studio does not give you the right to keep or use a piece of Work Product, downloading it from the Service does not create one.

11.3 Before you use any Work Product in your portfolio, on social media, in a competition or anywhere else, satisfy yourself that your agreement with the Studio permits it and that every release, consent and permission required from the people shown has been obtained. We do not check either, and we are not responsible if you get it wrong.

11.4 We claim no ownership of your Work Product.

12.Your Profile, Equipment and Availability

12.1 Everything you publish about yourself, including your experience, roles, disciplines, equipment, qualifications, certifications, insurance, rates and availability, must be accurate, current and not misleading.

12.2 We do not verify any of it. A Studio that relies on what you have published is relying on you, not on us.

12.3 We may remove, correct or hide anything we believe to be false, misleading, unlawful or in breach of these Terms, and we may suspend or terminate an account that misrepresents.

13.Professional Directory and Public Profile

13.1 We intend to introduce a professional directory within or alongside the Service, connecting Studios with lead shooters, second shooters, associate shooters, videographers, editors, drone operators and other wedding and event professionals, and allowing work to be posted, discovered and applied for. That feature is not available today. This Section sets out in advance the terms on which your information will appear in it when it launches, so that the directory is useful to its members from the first day rather than empty.

13.2 Your public profile may include your name or business name, the disciplines and roles you offer, the areas you work in, your general availability, your equipment, and the other information you have published about yourself under Section 12.

13.3 Your public profile may display sample work drawn from your account. This is intended to be read broadly. It includes photographs, films, video, reels, audio, graphics and other media that you place in any portfolio, showcase, gallery or comparable feature of the Service, however named, whether that feature exists today or is introduced later, together with any thumbnail, still, poster frame, excerpt, clip, crop, resized, compressed, re-encoded or otherwise adapted version that we generate for display, and together with any caption, title, credit, event type or date associated with it. We may select which items to display, how many, in what order, and at what size or duration, and we may change any of that at any time.

13.4 Before any media becomes eligible for display, you confirm that you own or control all rights necessary for us to display it as described, including copyright, and that you have obtained every release, consent and permission required from the people appearing in it and from any other rights holder, including any Studio whose Engagement it came from. Section 11 applies. If you are unsure whether a particular item may be displayed, exclude it.

13.5 You may edit your public profile, restrict individual fields or items of sample work, or opt out of the directory entirely, at any time before or after it launches, using the controls we make available or by contacting us at the address in Section 25.5. We will action a removal request within a reasonable period. Removal takes effect going forward. We cannot recall copies already cached, indexed or reproduced by third parties.

13.6 We are not obliged to build the directory, to launch it, to include you in it, or to continue operating it. We give no assurance that it will generate enquiries, bookings or work of any kind. Sections 6, 17 and 18 apply to the directory as they do to the rest of the Service.

14.Acceptable Use

14.1 You must not:

  • use the Service unlawfully, or to facilitate anything unlawful;
  • upload anything you do not have the right to upload, or anything unlawful, defamatory, harassing, obscene or infringing;
  • upload a taxpayer identification number anywhere except through the feature described in Section 9, or upload any other government identity document anywhere in the Service;
  • access, scrape, harvest, collect or compile information about other Contractors, Studios, or a Studio's clients, whether manually or by any automated means;
  • use the Service to solicit a Studio's clients directly, or to divert work away from a Studio whose Engagement introduced you to them, other than as your agreement with that Studio permits;
  • attempt to access any account, workspace, data or part of the Service you have not been given access to;
  • probe, scan, test, disrupt or circumvent the security or integrity of the Service, or exceed any rate or volume limit we set;
  • reverse engineer, decompile or attempt to derive the source code of the Service, except where applicable law expressly permits it;
  • misrepresent who you are, who you work for, or your qualifications, experience or equipment;
  • resell, sublicense or make the Service available to anyone else; or
  • use the Service to build or train a competing product or service.

14.2 We may investigate suspected breaches and may suspend or terminate your account under Section 21 without notice.

15.Privacy and Data Protection

15.1 Our handling of Contractor Data is described in our Contractor Privacy Notice (pixally.com/contractor-privacy), which forms part of these Terms.

15.2 Because you sign up with us directly rather than through a Studio, we are responsible in our own right for the Contractor Data we hold about you. That is different from Studio Data, which belongs to the Studio and which we handle on its behalf.

15.3 When a Studio engages you, we share the Contractor Data necessary for that Engagement with that Studio, including your tax documentation where you have provided it. The Studio is responsible for what it does with that information after it receives it.

15.4 Privacy enquiries and requests about your own information should be sent to privacy@pixally.com.

16.Our Intellectual Property and Your Feedback

16.1 The Service, including all software, design, text, graphics, interfaces and documentation, and all intellectual property rights in it, belongs to us and our licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your own professional purposes while your account is open, and nothing more.

16.2 You must not remove, obscure or alter any proprietary notice in the Service, and you must not use our name, logo or branding without our written permission.

16.3 If you give us feedback, suggestions or ideas about the Service, we may use them for any purpose without restriction, obligation or payment to you. You are not required to give feedback.

17.Disclaimer of Warranties

17.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED AND STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

17.2 WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE, THAT ANY DATA WILL BE PRESERVED OR RECOVERABLE, OR THAT ANY DEFECT WILL BE CORRECTED.

17.3 WE MAKE NO WARRANTY ABOUT ANY STUDIO, ANY OTHER CONTRACTOR, ANY ENGAGEMENT, OR ANY PAYMENT PROVIDER, AND NO WARRANTY THAT YOU WILL OBTAIN WORK OR INCOME.

17.4 Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you. In that case any implied warranty is limited in duration to the minimum period permitted by applicable law.

18.Limitation of Liability

18.1 Exclusion of indirect and consequential damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY, NOR PIXALLY'S SUPPLIERS OR LICENSORS, WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, ANTICIPATED SAVINGS, WORK, ENGAGEMENTS, OR LOSS, CORRUPTION OR INACCURACY OF DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A LIMITED REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

18.2 Cap on total liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS AND THE SERVICE, FOR ALL CLAIMS COMBINED, WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). YOU ACKNOWLEDGE THAT CONTRACTOR ACCOUNTS ARE PROVIDED FREE OF CHARGE AND THAT THIS CAP REFLECTS THAT.

18.3 Exclusive remedy. WHERE NO OTHER REMEDY IS EXPRESSLY STATED, YOUR EXCLUSIVE REMEDY FOR ANY FAILURE OF, DEFECT IN, OR UNAVAILABILITY OF THE SERVICE IS TO STOP USING IT AND CLOSE YOUR ACCOUNT.

18.4 Exceptions. Nothing in these Terms excludes or limits either party's liability for: death or personal injury caused by its negligence; fraud or fraudulent misrepresentation; your breach of Section 10, Section 14 or Section 16; your indemnification obligations under Section 19; or any other liability that cannot be excluded or limited under applicable law.

18.5 Allocation of risk. You acknowledge that the disclaimers in Section 17 and the limitations in this Section 18 are a fundamental basis of the bargain between us, that the Service is provided to you free of charge on that basis, and that we would not provide it otherwise.

18.6 Time limit. No action arising out of or relating to these Terms may be brought by either party more than one year after the cause of action accrued, except where applicable law prohibits a shorter period than the statutory one, in which case the shortest permitted period applies.

19.Indemnification

19.1 You will defend, indemnify and hold harmless Pixally and its officers, directors, employees, contractors, agents, suppliers and licensors from and against any third-party claim, demand, action or proceeding, and all resulting losses, damages, liabilities, settlements, fines, penalties, costs and expenses, including reasonable legal fees, arising out of or relating to:

  • your use of the Service;
  • your breach of these Terms;
  • any Engagement, Service Agreement or dispute between you and any Studio;
  • your Work Product, including any claim about its ownership, use, or the rights of people shown in it;
  • any Studio Data you accessed, retained, disclosed or used;
  • any information you published about yourself, including in the directory;
  • any tax form you uploaded, and any consequence of it being inaccurate; and
  • your status, or any claim about your status, as an employee, worker or contractor of anyone.

19.2 We will notify you of any claim we seek indemnity for, allow you to control the defence with counsel reasonably acceptable to us, and cooperate at your expense. You may not settle any claim in a way that imposes any obligation or admission on us without our written consent.

20.No Assumption of Third-Party Liability

20.1 We do not assume, and are not responsible for, any obligation or liability arising from:

  • any contract or arrangement between you and any Studio, client, couple, venue, planner, vendor or other third party, whether or not it was created, stored, sent or managed using the Service;
  • the acts, omissions, insolvency, dishonesty or misconduct of any Studio or any other third party, including any failure to pay you;
  • any payment provider, bank or other financial institution; or
  • any decision a Studio makes about engaging you, continuing to engage you, or ending your access to its workspace.

20.2 Google Maps. The Service includes Google Maps features and content. Your use of Google Maps features and content is subject to the then-current versions of the Google Maps/Google Earth Additional Terms of Service at https://maps.google.com/help/terms_maps/ and the Google Privacy Policy at https://policies.google.com/privacy.

21.Term, Termination and Suspension

21.1 These Terms apply from the moment you accept them until your account is closed.

21.2 You may close your contractor account at any time.

21.3 We may suspend or terminate your account, or any part of your access to the Service, at any time, with or without cause, and with or without notice, at our discretion. Because contractor accounts are provided free of charge, we owe you no refund, compensation or notice period, and we are not required to give reasons or to provide any appeal or review.

21.4 A Studio may end your access to its workspace at any time. That is the Studio's decision, not ours, and we will not reverse it.

21.5 On termination your access ends and your public profile stops being visible. We may retain records, including tax documentation, where a Studio or the law requires it, and as described in our Contractor Privacy Notice.

21.6 Sections 3, 7, 8, 9, 10, 11, 14, and 16 to 25 survive termination.

22.Dispute Resolution, Binding Arbitration and Class Action Waiver

22.1 Read this Section carefully. It affects your legal rights, including your right to bring a claim in court and to participate in a class action.

22.2 Informal resolution first. Before starting arbitration, you agree to contact us at legal@pixally.com with a written description of the dispute and the resolution you are seeking, and to give us sixty days to resolve it informally.

22.3 Binding arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be settled by final and binding individual arbitration, rather than in court, administered under the rules of a recognised arbitration provider, with the arbitration seated in Baltimore, Maryland, or conducted remotely where the provider's rules allow.

22.4 Class action waiver. YOU AND PIXALLY EACH AGREE THAT ANY DISPUTE WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS PROCEEDING.

22.5 Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive relief in court to protect intellectual property or confidential information.

22.6 If the class action waiver in Section 22.4 is found unenforceable as to a particular claim, that claim, and only that claim, will proceed in court, and the rest of this Section continues to apply.

23.Governing Law and Venue

23.1 These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Maryland and the applicable federal laws of the United States, without regard to conflict of law principles that would apply the law of another jurisdiction.

23.2 The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply to these Terms.

23.3 Subject to Section 22, the parties submit to the exclusive jurisdiction of the state and federal courts located in Baltimore, Maryland for any dispute not subject to arbitration, and each party waives any objection to venue or inconvenient forum in those courts.

23.4 The Service is controlled and operated from the United States. If you access it from elsewhere you do so on your own initiative and are responsible for compliance with local law. Nothing in this Section deprives you of the protection of mandatory provisions of the law of your country of habitual residence where applicable law so requires.

24.Changes to the Service and to These Terms

24.1 We may change the Service at any time, including by adding, altering or removing features.

24.2 We may change these Terms. Where a change is material, we will tell you and you will be asked to accept the updated Terms before you continue using the Service. Your acceptance is recorded, including which version you accepted and when.

24.3 Corrections that do not change your rights or obligations, such as fixing a typographical error or clarifying wording, take effect when published and do not require you to accept again.

24.4 The current version is always available at the published address for these Terms, with the date it took effect.

25.General Provisions

25.1 Entire agreement. These Terms, together with our Contractor Privacy Notice, are the entire agreement between you and us about the Service, and supersede all prior proposals, representations, understandings and agreements about it. Neither party has relied on any statement not set out here. For the avoidance of doubt, they do not affect, vary or supersede any Service Agreement between you and a Studio.

25.2 Assignment. You may not assign or transfer these Terms or any right under them. We may assign them without restriction. Any attempted assignment in breach of this Section is void.

25.3 Force majeure. Neither party is liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including acts of God, natural disaster, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, labour dispute, governmental action, power or telecommunications failure, denial of service attack, or the failure or unavailability of a third-party hosting, payment or network provider.

25.4 Independent parties. You and Pixally are independent of one another. Nothing in these Terms creates a partnership, joint venture, franchise, employment or agency relationship, and neither party may bind the other or incur obligations on the other's behalf. Section 3 applies.

25.5 Notices. We may give you notice by email to your account address, by posting in the Service, or by mail to any address you have given us. Notice is deemed received on the day sent by email or in the Service, or three business days after mailing. Legal notices to us must be in writing and sent by email to legal@pixally.com and by mail to:

Pixally
Attn: Legal
3600 Clipper Mill Rd, Ste 213
Baltimore, MD 21211
United States

Privacy enquiries and requests about your own information should be sent to privacy@pixally.com. Security reports should be sent to security@pixally.com. General support enquiries should be sent to support@pixally.com.

25.6 Severability. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the rest of these Terms remain in full effect.

25.7 No waiver. A failure to enforce any provision is not a waiver of it or of any other provision.

25.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation".
